Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and BuyerStream, Inc. ("BuyerStream," "we," "our," or "us") governing your access to and use of the BuyerStream platform, dashboard, API, and all related services (collectively, the "Services").

By creating an account, entering your payment details, or accessing any part of the Services, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy.

BuyerStream provides a real-time audience intelligence platform that resolves anonymous web search behavior into identified consumer and corporate profiles. The platform delivers a live-streaming feed of audience data records matched to your configured keyword and geographic criteria. Each resolved record may include: full name, physical street address, city, state, ZIP code, email address(es), phone number(s), company name, job title (B2B), and an intent match confidence score.

The Services are designed for lawful business purposes including sales prospecting, marketing outreach, direct mail, and customer acquisition — subject to the use restrictions in Section 5.

BuyerStream grants you a limited, non-exclusive, non-transferable, revocable license to access, view, export, and use the resolved audience data records delivered through your stream ("Data Records") solely for your own internal business purposes during your active subscription.

This license does not permit you to:

• Resell, sublicense, redistribute, or share Data Records with third parties outside your organization
• Build or train machine learning models on Data Records without prior written consent
• Use Data Records to populate a competing data product or broker service
• Store Data Records beyond 12 months from the date of delivery without a written data retention agreement

By using the Services, you agree that you will NOT use Data Records or the platform to:

• Send spam or unsolicited bulk communications in violation of the CAN-SPAM Act, TCPA, CASL, or any other applicable anti-spam or telemarketing law
• Harass, stalk, threaten, or intimidate any individual identified in a Data Record
• Discriminate unlawfully against individuals on the basis of race, gender, religion, national origin, disability, age, or any other protected characteristic
• Violate CCPA, GDPR, HIPAA, or any other applicable privacy law in connection with your outreach or data usage
• Engage in predatory lending, debt collection abuse, or financial fraud using contact data obtained through the platform
• Contact individuals who have opted out of data-driven marketing under applicable law, or who appear on applicable do-not-call or do-not-mail registries
• Use physical address data to physically surveil, follow, or visit any individual without their prior explicit consent
• Engage in any activity that violates federal, state, or local law

BuyerStream reserves the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you are violating or have violated any of the above prohibitions.

You are solely responsible for ensuring that your use of Data Records complies with all laws applicable to you, including but not limited to:

• California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA)
• Telephone Consumer Protection Act (TCPA)
• CAN-SPAM Act
• Canada's Anti-Spam Legislation (CASL)
• General Data Protection Regulation (GDPR), where applicable
• All applicable state and local consumer protection and telemarketing laws

BuyerStream does not provide legal advice. We strongly recommend that you consult qualified legal counsel before using Data Records for any marketing, outreach, or sales campaign, particularly if you are targeting California, Colorado, Virginia, or any other state with active consumer privacy legislation.

BuyerStream sources its identity and contact data from licensed third-party data providers. While we strive to deliver accurate and up-to-date records, we make no warranty — express or implied — as to the accuracy, completeness, currentness, or fitness for purpose of any Data Record. Data records are provided "as is." BuyerStream is not liable for any direct, indirect, or consequential damages arising from your reliance on Data Records.

All platform software, algorithms, interfaces, trademarks, and proprietary technology used to deliver the Services remain the exclusive intellectual property of BuyerStream, Inc. These Terms do not transfer any ownership rights to you.

To the fullest extent permitted by law, BuyerStream shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or reputational harm — arising from your use of or inability to use the Services or any Data Records, even if BuyerStream has been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to BuyerStream in the 3 months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless BuyerStream, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or Data Records; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party rights.

We may modify these Terms at any time. When we do, we will update the effective date and notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules, conducted in English. Class action waivers apply to the fullest extent permitted by law.
